Werqspace Terms of Service
1. About Werqspace and Acceptance
Werqspace (“Werqspace,” “we,” “us,” or “our”) operates werqspace.com, an independent directory and discovery platform focused on LGBTQ+ establishments, events, community resources, and other places and things of interest to the LGBTQ+ community. Werqspace may include information about establishments, events, community centers, landmarks, points of interest, and other resources relevant to the community.
Werqspace is an independent directory. Unless expressly stated otherwise, the inclusion of an establishment, organization, event, business, or other resource on Werqspace does not mean that the entity is affiliated with, sponsored by, endorsed by, or otherwise associated with Werqspace.
These Terms of Service (“Terms”) govern your access to and use of werqspace.com and the features and services made available through the website. By accessing or using Werqspace, you agree to be bound by these Terms. If you do not agree to these Terms, you should not access or use Werqspace.
Certain features or activities, including creating an account, claiming or managing a listing, submitting content, or using other features designated by Werqspace, may require you to affirmatively acknowledge and agree to these Terms in addition to your general acceptance through use of the website.
Your use of Werqspace is also subject to the Werqspace Privacy Policy, which explains how Werqspace collects, uses, retains, protects, and discloses information in connection with the website and its services.
Werqspace may add, modify, or discontinue features, content, or services from time to time. Additional terms may apply to particular features or services when expressly provided by Werqspace.
2. Eligibility and Age Requirements
Werqspace is intended for adults. You must be at least 18 years old to access or use Werqspace, whether or not you create an account.
By accessing or using Werqspace, you represent and warrant that you are at least 18 years old. Werqspace currently uses an age-verification prompt when a visitor first accesses the website. The prompt asks the visitor to confirm that they are at least 18 years old. Werqspace does not currently require government-issued identification, a date of birth, or other identity documentation to access the website.
The 18+ requirement applies to all use of Werqspace, including browsing directory information, creating or using an account, saving Favorites, claiming or managing listings, submitting reports or corrections, uploading content, and using other features of the website.
If Werqspace determines or reasonably believes that a person using the website is under 18, Werqspace may suspend or terminate that person’s account and/or access to Werqspace.
Werqspace’s 18+ access requirement is separate from and does not determine the age requirements applicable to any particular establishment, event, service, activity, or location listed on the website. Individual establishments, event organizers, service providers, and applicable laws may impose different age requirements or other eligibility restrictions. You are solely responsible for determining and complying with those requirements before visiting, attending, purchasing from, or otherwise using any establishment, event, service, or activity identified through Werqspace.
3. User Accounts and Favorites
Some features of Werqspace require or permit you to create an account. All Werqspace accounts are currently provided free of charge.
When creating or maintaining an account, you must provide accurate and reasonably current information and update that information when necessary. You may not impersonate another person or provide information that is intentionally false or misleading.
Your Werqspace account is personal to you and may not be sold, assigned, transferred, or otherwise provided to another person. Separate provisions may apply to business or establishment-management accounts and the transfer of management authority associated with them.
You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account. You should promptly notify Werqspace if you believe that your account or credentials have been compromised or used without authorization. Werqspace is not responsible for losses resulting from your failure to protect your account credentials.
You may not create multiple Werqspace accounts for purposes of evading restrictions, concealing abusive or deceptive activity, circumventing enforcement actions, or otherwise abusing the service.
Favorites
Registered users may save places listed on Werqspace to a private Favorites collection. Favorites are not publicly displayed or presented by Werqspace as a public record of your interests.
Favorites are associated with your Werqspace account. If you permanently delete your account, the Favorites associated with that account will also be deleted, subject to the retention practices described in the Werqspace Privacy Policy.
Favorites are provided as a convenience and depend on the continued availability of the corresponding directory listings. A Favorite may no longer be available or may cease to function as expected if a listing is modified, removed, relocated, or otherwise changed.
You may permanently delete your Werqspace account through the account-management functionality provided on the website. Account deletion is not reversible through self-service. The deletion of an account does not necessarily require Werqspace to delete information that it is permitted or required to retain under its Privacy Policy or applicable law.
4. Directory Listings and Werqspace Content
Werqspace operates and maintains a directory of LGBTQ+ establishments, events, organizations, community resources, points of interest, and other things of interest to the LGBTQ+ community. Directory listings are created, organized, maintained, and controlled by Werqspace, subject to the rights and responsibilities described in these Terms.
Werqspace may create and publish a listing for an establishment, event, organization, resource, or other place or subject that it determines is appropriate for inclusion in the directory without obtaining prior permission from the establishment, organization, or other entity concerned. Inclusion in the directory does not, by itself, create any affiliation, partnership, sponsorship, endorsement, recommendation, or other relationship between Werqspace and the listed entity unless Werqspace expressly states otherwise.
4.1 Editorial Discretion and Directory Eligibility
Werqspace determines, in its editorial discretion, which establishments, events, organizations, resources, and other subjects qualify for inclusion in the directory.
Werqspace may establish and modify its criteria for inclusion as the directory develops. A listing may be created, modified, reorganized, temporarily hidden, removed, merged, or reinstated at Werqspace’s discretion, including when Werqspace determines that doing so is appropriate for the accuracy, quality, organization, integrity, or purpose of the directory.
Werqspace does not guarantee that any particular establishment, event, organization, resource, or other subject will be listed, remain listed, or be displayed in any particular manner.
4.2 Sources of Directory Information
Information appearing in Werqspace listings may come from a variety of sources, including research conducted by Werqspace, publicly available information, information provided by establishments or their representatives, information submitted by users, and information obtained through third-party services or data sources.
Werqspace seeks to make reasonable efforts to maintain accurate and useful directory information. However, directory information may become outdated, incomplete, inaccurate, or unavailable, including because circumstances change after information has been collected or because information supplied to Werqspace or obtained from another source was inaccurate.
Accordingly, Werqspace does not warrant or guarantee that directory information is accurate, complete, current, reliable, or suitable for any particular purpose. This includes information concerning addresses, hours, contact information, services, events, admission requirements, age restrictions, pricing, availability, ownership, management, or any other characteristic of a listed entity.
Users should independently verify information that is important to them, particularly information concerning hours, admission, age restrictions, availability, pricing, services, and other conditions that may change without notice.
4.3 Claimed Listings
When an eligible place listing has been claimed by an authorized establishment representative, the representative may be permitted to maintain certain information associated with that listing through the account and management tools provided by Werqspace.
For a claimed place listing, the establishment or its authorized representative is generally expected to be the primary source for maintaining the establishment’s information. Werqspace generally will not make ordinary changes to information supplied and maintained by an authorized listing manager unless reasonably necessary under the circumstances.
Nothing in this provision prevents Werqspace from modifying, correcting, reorganizing, hiding, or removing information or a listing when Werqspace determines that intervention is reasonably necessary, including in extraordinary circumstances, to address inaccurate or inappropriate information, legal concerns, security issues, abuse, directory integrity, or other legitimate operational concerns.
The procedures governing listing claims, verification, management authority, and business accounts are described further below.
4.4 Changes to the Directory
Werqspace may change, update, reorganize, combine, separate, suspend, hide, remove, or reinstate listings and other directory content at any time.
Werqspace may also change the categories, classifications, search results, maps, navigation, presentation, or other ways in which directory information is organized or displayed.
These actions may be taken for editorial, operational, technical, legal, security, accuracy, or other legitimate reasons.
4.5 Removal Requests
Werqspace recognizes that an establishment, organization, or other entity may have legitimate reasons for requesting that its information be removed from the directory. Werqspace will take such requests seriously and will generally consider removing a listing when a legitimate request is received and the identity or authority of the requesting party can reasonably be established.
However, a request for removal does not automatically create a contractual right to compel Werqspace to remove a listing. Werqspace retains editorial and administrative discretion over the contents of its directory, subject to applicable law and the specific provisions concerning removal requests described elsewhere in these Terms and in the Werqspace Privacy Policy.
4.6 Places and Events
Place listings are maintained as part of the Werqspace directory and remain under Werqspace’s control even when an establishment representative has claimed and manages the listing.
Event listings may be submitted or managed by users, establishments, or other authorized parties and are subject to additional provisions governing submitted content and event management.
5. Business Accounts, Listing Claims, and Management
Werqspace may allow an individual who is authorized to represent an establishment to create an account and request management access to an eligible place listing.
A business or establishment account is intended to allow an authorized representative to manage information associated with the establishment’s Werqspace listing. Creating or using such an account does not transfer ownership of the listing to the establishment or to the individual using the account. Place listings remain part of the Werqspace directory and remain under Werqspace’s control.
5.1 Authority to Claim a Listing
A person who requests management access to a place listing must be authorized to represent the establishment identified in the listing.
The person making a claim is responsible for providing truthful and accurate information concerning their identity, relationship to the establishment, and authority to act on its behalf.
Werqspace may use one or more reasonable methods to verify whether a person is authorized to claim or manage a listing. Depending on the circumstances, verification may include confirmation through an official business email address, information publicly associated with the establishment, correspondence with the establishment, confirmation by an existing authorized representative, documentation demonstrating the person’s relationship to the establishment, or other information or methods Werqspace reasonably considers appropriate.
An official business email address may facilitate or expedite the verification process but is not necessarily required. Werqspace recognizes that some legitimate establishments may not maintain a dedicated business domain or conventional business email address.
Werqspace will request only information or documentation that it reasonably considers necessary for the verification process.
5.2 Approval of Claims
Submitting a claim does not automatically grant management access.
If Werqspace has not received sufficient information to reasonably determine that a claimant is authorized to represent the establishment, Werqspace may deny, delay, or place the claim on hold pending additional information or verification.
Werqspace retains discretion to determine whether the information provided is sufficient to establish management authority. Werqspace is not required to grant management access merely because a claim has been submitted or because a claimant asserts that they represent the establishment.
5.3 Management Access
A successful claim authorizes the verified establishment representative to make changes to certain information associated with the claimed place listing.
The information that a listing manager is authorized to modify will be made available through the applicable Werqspace listing-management or add/edit listing interface. Not every field or item of information associated with a listing will necessarily be available for modification by the listing manager.
Management access does not give the authorized representative unrestricted control over the listing or the Werqspace directory. Werqspace retains control over the listing and may modify, correct, reorganize, hide, remove, or otherwise intervene with respect to a listing as provided in these Terms.
5.4 Responsibility for Business Information
An establishment and its authorized listing manager are responsible for making reasonable efforts to keep the information they control through the listing-management system accurate and reasonably current.
An establishment is also responsible for notifying Werqspace when an individual who has management access is no longer authorized to represent the establishment or when responsibility for managing the listing has changed.
Where appropriate, Werqspace may request updated verification when management authority changes or when circumstances reasonably call the existing authorization into question.
5.5 One Authorized Management Account
Because of the way Werqspace’s listing-management system operates, a claimed place listing may have only one authorized account with management access at a given time.
An establishment with multiple owners, managers, or employees who need to manage its listing is responsible for determining who will use the authorized management account and for maintaining appropriate control over that account.
The establishment may transfer management responsibility to another authorized representative through a process approved by Werqspace. Individual business representatives may not independently transfer management authority to a person who is not authorized to represent the establishment.
5.6 Suspension or Revocation of Management Access
Werqspace may suspend, limit, or revoke management access when it reasonably determines that doing so is appropriate. Circumstances may include, without limitation:
- the representative is no longer authorized to act on behalf of the establishment;
- the claim was obtained through false, misleading, fraudulent, or deceptive information;
- the account or listing is being used in violation of these Terms;
- the representative submits materially false or misleading information;
- the account has been compromised or presents a security risk;
- there is a dispute concerning who is authorized to manage the listing;
- the listing or account has been abandoned or is no longer being reasonably maintained;
- the representative engages in conduct that threatens the integrity, security, or proper operation of Werqspace; or
- Werqspace otherwise determines that suspension or revocation is reasonably necessary for legitimate editorial, operational, legal, security, or administrative reasons.
Suspension or revocation of management access does not, by itself, remove or delete the underlying place listing.
5.7 Abandoned Management Accounts
Werqspace may treat a management account as abandoned when it reasonably appears that the authorized representative is no longer actively managing the listing, cannot reasonably be contacted, is no longer authorized to represent the establishment, or has otherwise ceased to maintain the listing for an extended or indeterminate period.
Werqspace may consider the circumstances of the particular establishment and listing when determining whether management access has been abandoned. Werqspace may request updated information or verification before restoring or continuing management access.
Abandonment of a management account does not cause the underlying place listing to be deleted. The listing remains part of the Werqspace directory and may be returned to Werqspace administrative control or made available for a new authorized representative to claim.
5.8 Changes in Management
If an authorized representative leaves an establishment or otherwise ceases to be responsible for its Werqspace listing, the establishment should notify Werqspace and arrange for management authority to be transferred to another authorized representative.
A former representative’s departure does not automatically remove the establishment’s place listing from Werqspace.
Werqspace may require reasonable verification before transferring management access to a new representative.
5.9 Disputes Concerning Management Authority
If two or more individuals claim authority to manage the same listing, or if Werqspace receives conflicting information concerning management authority, Werqspace may suspend or limit management access while it evaluates the circumstances.
Werqspace may request additional information or documentation and may require the parties to resolve underlying ownership, employment, management, or other legal disputes independently.
Werqspace does not undertake to determine or adjudicate the ultimate legal ownership of an establishment. Its determination of who may manage a Werqspace listing is an administrative decision concerning use of the Werqspace service and does not establish legal ownership of the establishment or its assets.
5.10 Business Account Deletion
Deleting a business or establishment representative’s Werqspace account does not, by itself, delete the associated place listing.
When an account with management access to a place listing is deleted, the underlying place listing will ordinarily remain in the Werqspace directory. Management of the listing may revert to Werqspace administration until another authorized representative successfully claims or is assigned management access through a Werqspace-approved process.
Account deletion may also affect other content or functionality associated with the account, including event listings, as described elsewhere in these Terms.
A former account holder who wishes to request removal of the underlying place listing may submit a written removal request to Werqspace. Werqspace will make reasonable efforts to consider such a request, but removal is subject to Werqspace’s editorial and administrative discretion and the applicable provisions of these Terms and the Werqspace Privacy Policy.
5.11 Administrative Records
Werqspace may retain records relating to listing claims and management, including verification information, management transfers, changes in authorization, suspension or revocation decisions, removal requests, reinstatement requests, disputes, and related communications.
These records may persist after management access ends, an account is deleted, or a listing is removed. Werqspace may retain such information for as long as reasonably necessary to maintain the integrity and administrative history of the directory, evaluate future claims or requests, prevent fraud or abuse, resolve disputes, protect the rights and security of Werqspace and its users, or satisfy legal or other legitimate requirements.
5.12 Prohibited Claiming and Management Conduct
You may not claim or attempt to manage a listing unless you are authorized to represent the establishment concerned.
You may not impersonate an owner, manager, employee, agent, or other authorized representative; submit forged or intentionally misleading verification information; falsely claim an establishment; intentionally interfere with another person’s authorized management access; or otherwise attempt to obtain or retain management access through deception, fraud, or unauthorized means.
6. Listing Removal, Corrections, Reports, and Reinstatement
Werqspace provides mechanisms for establishments and visitors to bring listing-related issues to its attention. These mechanisms allow Werqspace to investigate and address inaccurate, outdated, inappropriate, or otherwise problematic directory information and content. Submission of a request or report does not guarantee that Werqspace will take any particular action.
6.1 Requests to Remove a Listing
A request to remove a listing from the Werqspace directory must be submitted by a current authorized representative of the establishment identified in the listing. A person who previously worked for or represented an establishment but no longer has authority to act on its behalf is not considered a current authorized representative for purposes of submitting a removal request.
Removal requests may currently be submitted through the Werqspace website’s available contact or reporting mechanisms or by contacting Werqspace at info@werqspace.com. Werqspace may modify, replace, or add to these methods as its services and procedures develop.
Werqspace may use reasonable methods to verify the identity and authority of a person requesting removal, including methods similar to those used to verify listing-management authority under Section 5. Werqspace may request additional information or documentation when reasonably necessary to determine whether the person making the request is authorized to act on behalf of the establishment.
Werqspace will take legitimate removal requests seriously and, where an authorized establishment representative makes a written request for removal, will make reasonable efforts to honor the request in accordance with the procedures and limitations described in these Terms and the Werqspace Privacy Policy. Nothing in this provision creates an unconditional contractual right to compel removal, and Werqspace retains editorial and administrative discretion subject to applicable law.
An establishment should promptly notify Werqspace when a person who has communicated with or received management authority from Werqspace is no longer authorized to represent the establishment, including following a change in ownership or management. Werqspace may consider such changes when evaluating the authority of a person making a removal request or other request concerning a listing.
6.2 Temporary Hiding and Removal of Listings
Removal from public display does not necessarily mean that a listing or all information associated with the listing is permanently deleted.
Werqspace may temporarily hide a listing when circumstances warrant doing so while preserving the underlying listing for possible future use. For example, a listing may be temporarily hidden when an establishment is closed for renovations, temporarily ceases operations, is believed to have closed but the circumstances have not yet been confirmed, or while Werqspace investigates a report or other issue concerning the listing.
Werqspace may also permanently remove a listing when it determines that removal is appropriate. The decision to hide, remove, retain, modify, or later reinstate a listing remains subject to Werqspace’s editorial and administrative discretion.
A listing that is hidden or removed from public display may remain associated with administrative records, historical information, or other information retained by Werqspace in accordance with these Terms and the Werqspace Privacy Policy.
6.3 Corrections and Updates
Anyone may submit a request or report concerning information that they believe is inaccurate, incomplete, outdated, or otherwise incorrect.
Werqspace may receive correction requests through the website’s available reporting or contact mechanisms or by email at info@werqspace.com. Werqspace may modify these submission methods as its services and procedures develop.
Werqspace may investigate a reported issue using information available to it, including information supplied by the reporting party, information provided by the establishment or its authorized representative, publicly available information, and other sources reasonably available to Werqspace.
Submission of a correction request does not require Werqspace to accept the requested change. Werqspace will make the final determination as to whether a correction, update, modification, or other action is warranted based on its investigation and editorial judgment.
Werqspace may also independently identify and correct, update, reorganize, hide, or remove information without receiving a correction request when it determines that doing so is appropriate.
6.4 Reports Concerning Listings or Content
Anyone may report a listing or content appearing on Werqspace that they believe warrants review. Reports may concern inaccurate information, potentially inappropriate content, or other issues relating to the operation or integrity of the directory.
The specific categories of prohibited or inappropriate content and conduct are addressed elsewhere in these Terms. This section establishes the reporting and review process and does not limit the substantive rules governing content or user conduct.
Werqspace may investigate a report using information reasonably available to it and may take any action it determines to be appropriate under the circumstances. Possible actions may include correcting information, requesting additional information, modifying or removing content, temporarily hiding a listing, restricting access to content or functionality, taking action concerning an account or listing-management access, or determining that no action is warranted.
Werqspace does not guarantee that every report will result in a change, removal, or other action. Werqspace may prioritize reports based on their circumstances and may decline to take action when it determines that action is not warranted or is not reasonably necessary.
Werqspace may respond to a person who submits a report, but does not guarantee that it will provide the outcome of its review or disclose the details of any action taken.
6.5 Werqspace Investigation and Determination
Werqspace may conduct its own investigation before deciding whether to act on a removal request, correction request, report, or other listing-related communication. Werqspace may request additional information or documentation from the person submitting the request or report, the establishment concerned, an authorized listing manager, or other relevant parties.
Werqspace is not required to accept the statements or requested outcome of any particular party. Where information or accounts conflict, Werqspace may evaluate the available information and make its own administrative and editorial determination concerning the Werqspace listing.
Werqspace’s determination concerning whether information should be corrected, whether a listing should be hidden or removed, or whether content or functionality should otherwise be modified is a decision concerning the operation and administration of the Werqspace service. It does not establish or adjudicate legal ownership, contractual rights, or other legal disputes between third parties.
6.6 Reinstatement of Listings
A person or establishment may request that a previously hidden or removed listing be reinstated when circumstances have changed or when the requester believes the listing should again be included in the Werqspace directory.
A reinstatement request does not guarantee that the listing will be restored. Werqspace will determine, in its editorial and administrative discretion, whether reinstatement is appropriate and, if so, whether the listing should be restored in its prior form or with modifications, corrections, updated information, or other changes.
Werqspace may require additional information or verification before reinstating a listing, particularly when the circumstances that led to its removal or hiding remain uncertain or when the request concerns an establishment’s current status or authorization.
6.7 Administrative Records
Werqspace may retain records relating to removal requests, correction requests, reports, investigations, decisions, temporary hiding, removal, reinstatement, and related communications.
Such records may remain after a listing has been hidden, removed, or reinstated and may also remain after an account or management relationship associated with the listing has ended. Werqspace’s retention of such records is subject to the retention practices described in the Werqspace Privacy Policy and may be necessary to maintain the administrative history and integrity of the directory, evaluate future requests, prevent fraud or abuse, resolve disputes, protect Werqspace and its users, or satisfy legal or other legitimate requirements.
The retention of an administrative record does not mean that the underlying listing or information remains publicly available.
6.8 Third-Party Copies and External Services
Removing or modifying information on Werqspace does not necessarily remove copies of that information maintained by third parties.
Information from Werqspace may have been indexed, cached, copied, reproduced, linked to, or otherwise made available through search engines, social-media platforms, other directories, websites, archives, or other third-party services. Werqspace does not control those third-party systems and cannot guarantee that information removed from Werqspace will also be removed, updated, or corrected elsewhere.
Requests concerning information appearing on third-party websites or services must generally be directed to the applicable third party. Werqspace may, where appropriate and reasonably possible, update or remove information from its own website without assuming responsibility for information maintained by third parties.
7. User-Submitted Content
Werqspace may allow users, establishments, authorized representatives, and other contributors to submit information and other material to the service. User-submitted content may include, without limitation, text, photographs, images, business information, listing information, corrections, reports, event information, descriptions, suggestions, feedback, and other material submitted through current or future Werqspace features.
7.1 Responsibility for Submitted Content
The person submitting content to Werqspace is responsible for that submission and for having the rights, permissions, authority, and other legal basis necessary to submit and authorize Werqspace to use the content as described in these Terms.
By submitting content, you represent that, to the best of your knowledge, you have the necessary rights or permissions to submit the content and that your submission does not knowingly violate applicable law or the rights of another person or organization.
You should not submit content to Werqspace that you do not have permission or other lawful authority to provide. Werqspace does not require a contributor to obtain individual permissions or releases from every person who may incidentally appear in a photograph or other submission when such permission is not reasonably required under applicable law; however, the person submitting the material remains responsible for determining whether any necessary rights or permissions exist.
7.2 Ownership of Submitted Content
Except for the rights granted to Werqspace under these Terms, you retain whatever ownership rights you may have in content you submit to Werqspace.
Submitting content does not transfer ownership of that content to Werqspace.
You acknowledge, however, that Werqspace must have certain rights to use submitted content in order to operate, maintain, develop, and promote its services. By submitting content to Werqspace, you grant Werqspace a non-exclusive, worldwide, royalty-free license to use, reproduce, store, display, distribute, format, modify, and otherwise use the submitted content as reasonably necessary to operate and promote Werqspace and its services.
This license includes the right to use submitted content in connection with the Werqspace website and other Werqspace-operated services, as well as in Werqspace’s marketing, promotional, advertising, social-media, email, and other commercial activities.
7.3 Permitted Uses and Modification
The license granted to Werqspace includes the ability to adapt submitted content as reasonably necessary for the operation, presentation, and promotion of the service. Werqspace may, for example:
- resize, crop, compress, or reformat images;
- make technical modifications necessary for display or compatibility;
- edit text for formatting, clarity, length, accuracy, consistency, or directory presentation;
- reorganize or combine submitted information with other directory information;
- make other editorial or technical modifications that Werqspace determines are appropriate.
Werqspace’s exercise of these rights does not transfer ownership of the underlying content to Werqspace.
Werqspace is not obligated to publish or continue displaying any submitted content and may modify, decline to publish, temporarily hide, or remove submitted content at its discretion, subject to applicable law and these Terms.
7.4 Content Submitted on Behalf of an Establishment
If you submit content on behalf of an establishment, business, organization, event, or other entity, you represent that you are authorized to submit that content and grant the permissions described in these Terms on behalf of that entity.
This may include, without limitation, photographs, logos, business descriptions, promotional material, event information, and other materials relating to the establishment or organization.
Werqspace may rely on the representations and authority of the person submitting such material, but may request additional information or verification when reasonably necessary.
7.5 Third-Party Rights
You are responsible for ensuring that your submitted content does not knowingly infringe or violate the rights of another person or organization, including applicable copyright, trademark, privacy, publicity, contractual, or other rights.
Werqspace does not represent that it will independently determine the ownership or legal status of every submission before publication or use. Werqspace may request additional information, decline to publish content, modify or remove content, or take other appropriate action when it becomes aware of a potential rights issue.
7.6 Service Providers and Technical Processing
Werqspace may permit its hosting providers, content-delivery providers, technical contractors, and other service providers to process submitted content to the extent reasonably necessary to host, store, transmit, display, secure, maintain, or otherwise operate the Werqspace service.
These permissions are limited to the purposes reasonably necessary to provide and operate Werqspace and do not constitute a general authorization for third parties to use submitted content for their own unrelated purposes.
7.7 Removal of Submitted Content
Werqspace may remove, modify, or cease displaying submitted content at any time when it determines that doing so is appropriate under these Terms or for the operation of the service.
Removal of submitted content from public display does not necessarily mean that every copy or record of that content is immediately or permanently deleted. Certain submitted material may remain in administrative records, backups, historical records, or other systems where retention is reasonably necessary for operational, administrative, legal, security, dispute-resolution, or recordkeeping purposes.
Content may also survive the removal of a listing when the content has been incorporated into the listing, related directory information, administrative records, or other materials that Werqspace is permitted to retain.
7.8 Account Deletion and Submitted Content
Deleting a Werqspace account does not necessarily result in the automatic deletion of every submission previously made through that account.
Where submitted content has become part of a directory listing, administrative record, historical record, or other Werqspace service, Werqspace may retain or continue using that content to the extent reasonably necessary for the purposes described in these Terms and the Werqspace Privacy Policy.
Nothing in this section overrides any applicable rights or procedures concerning personal information described in the Werqspace Privacy Policy.
7.9 No Attribution Obligation
Werqspace is not generally obligated to identify, credit, or attribute the person who submitted content when displaying or using that content.
Where appropriate, Werqspace may identify a contributor, business, organization, or other source, but the absence of attribution does not affect the license granted under these Terms.
7.10 No Guarantee of Publication or Preservation
Submitting content to Werqspace does not guarantee that the content will be published, displayed, retained, or used.
Werqspace may determine whether, where, and for how long submitted content is used or displayed. Werqspace may also replace, update, modify, archive, hide, or remove submitted content as the service develops or as circumstances warrant.
Werqspace does not guarantee that a particular version of submitted content will be preserved or remain available indefinitely.
7.11 Feedback and Suggestions
If you voluntarily provide Werqspace with suggestions, ideas, recommendations, feature requests, improvements, or other feedback concerning Werqspace or its services, you acknowledge that Werqspace may use, implement, modify, or otherwise make use of that feedback without compensation or obligation to you.
Providing feedback does not give you ownership of any resulting feature, product, service, modification, or other development created or implemented by Werqspace.
8. Prohibited Content and Conduct
Werqspace is intended to provide adults with a useful, respectful, and reliable resource for discovering LGBTQ+ establishments, places, events, and related resources. Users may not use Werqspace to submit, publish, transmit, distribute, or otherwise make available prohibited content or to engage in conduct that violates these Terms, applicable law, or the legitimate operation of the service.
Werqspace values freedom of expression and does not intend to prohibit content merely because it is controversial, unpopular, offensive to some people, or inconsistent with a particular viewpoint. Werqspace nevertheless reserves the discretion to restrict content or conduct when it determines that doing so is reasonably necessary to maintain the purpose, safety, integrity, or usability of the service.
8.1 Pornographic and Sexually Explicit Content
Werqspace does not permit pornography, sexually explicit material, or content primarily intended to provide sexual gratification.
Prohibited material includes, without limitation:
- depictions of explicit sexual acts;
- sexually explicit photographs, videos, illustrations, or animations;
- explicit descriptions of sexual activity;
- sexualized depictions of genitalia or other body parts;
- content primarily intended to facilitate or promote sexual activity;
- content that Werqspace reasonably determines to be pornographic or sexually explicit.
Werqspace is not intended to function as a pornography, sexual-content, or sexual-services platform.
8.2 Nudity
Werqspace does not permit frontal nudity. For purposes of this section, prohibited nudity includes visible genitalia or exposed breasts or nipples.
This rule applies regardless of whether the material originates from a general nightlife establishment, event, bathhouse, or other adult-oriented venue.
The prohibition on nudity does not, by itself, prohibit ordinary adult nightlife or LGBTQ+ imagery. Images may depict adults who are shirtless, wearing swimwear, underwear, jockstraps, or other typical nightlife or venue attire, provided that the material does not otherwise violate these Terms or constitute sexually explicit or pornographic content.
Werqspace retains discretion to determine whether particular imagery crosses the line between ordinary adult nightlife imagery and prohibited sexualized or explicit content.
8.3 Hate Speech, Threats, and Abusive Conduct
Users may not use Werqspace to promote or express hatred, dehumanization, or violence against individuals or groups based on protected characteristics.
Users may not use Werqspace to make credible threats, engage in targeted harassment or intimidation, or engage in abusive conduct intended to cause harm, fear, or serious disruption to another person.
Werqspace may consider the context, purpose, audience, and circumstances of potentially objectionable material when determining whether it violates this section.
8.4 Illegal or Exploitative Content and Conduct
Users may not use Werqspace to facilitate, promote, or distribute unlawful activity or content.
This includes, without limitation:
- content involving the sexual exploitation or abuse of minors;
- child sexual abuse material;
- sexual activity involving minors;
- trafficking or exploitation of persons;
- unlawful threats or instructions to commit unlawful acts;
- content or conduct that otherwise violates applicable law.
Nothing in these Terms permits or protects conduct that is unlawful merely because it occurs through or in connection with Werqspace.
8.5 Minors and Age Misrepresentation
Werqspace is intended for adults age 18 and older. Users may not create or maintain an account while under 18 or knowingly misrepresent their age for the purpose of accessing Werqspace.
Users may not use Werqspace to facilitate sexual activity involving minors or to solicit, exploit, groom, sexualize, or otherwise endanger a minor.
Content involving the sexual exploitation or abuse of minors is strictly prohibited regardless of the age or stated identity of the person submitting it.
8.6 Outing and Unauthorized Disclosure of Personal Information
Werqspace may not be used to intentionally expose, “out,” or otherwise disclose another person’s LGBTQ+ identity, sexual orientation, gender identity, or other sensitive personal information without that person’s consent when the purpose or reasonably foreseeable effect is to expose or endanger that person.
Users may not publish or submit another person’s private or sensitive personal information when doing so is unauthorized, invasive, threatening, or reasonably likely to expose that person to harm.
This prohibition does not prevent the publication of legitimate information that is intended to be public, including ordinary business information such as a business address, public telephone number, official website, publicly designated business email address, publicly identified ownership or management information, or publicly advertised events.
Werqspace may consider the context, source, intended audience, and purpose of information when determining whether its publication is appropriate.
8.7 Fraud, Deception, and Misrepresentation
Users may not intentionally provide false or misleading information for the purpose of deceiving Werqspace, its users, establishments, or other parties.
This includes, without limitation:
- falsely claiming to own, operate, manage, or represent an establishment;
- submitting a fraudulent listing claim;
- impersonating another person or organization;
- intentionally submitting false information about a listing;
- manipulating information for the purpose of misleading users;
- submitting false reports or correction requests for deceptive purposes.
An honest mistake or an inaccurate statement made without an intent to deceive does not, by itself, constitute a violation of this section. However, Werqspace may still correct, modify, hide, or remove inaccurate information as provided elsewhere in these Terms.
8.8 Intellectual Property and Unauthorized Material
Users may not knowingly submit or distribute material through Werqspace that they do not have the right or permission to use.
This includes unauthorized use of copyrighted photographs, text, artwork, trademarks, logos, or other protected material.
Section 7 establishes the representations and permissions applicable to user-submitted content. Werqspace may remove or restrict material when it receives a credible complaint or otherwise becomes aware of a potential rights violation.
8.9 Irrelevant, Abusive, or Gratuitously Political Content
Werqspace is intended to function as an LGBTQ+ discovery medium. Users may not use listings, submissions, reports, profiles, or other Werqspace functionality primarily to distribute content that is unrelated to the particular listing, establishment, event, or legitimate operation of the service.
This may include gratuitous political advocacy, unrelated campaigning, ideological messaging, or other material that has no meaningful connection to the purpose or subject of the relevant Werqspace feature.
Werqspace does not prohibit political expression merely because it is political or because Werqspace or its users may disagree with a particular viewpoint. Werqspace may, however, restrict or remove political or ideological material when it determines that the material is unrelated, gratuitous, disruptive, or otherwise inconsistent with the purpose and operation of the service.
8.10 Spam, Unsolicited Commercial Promotion, and Abuse of the Service
Users may not use Werqspace to send or distribute spam, unsolicited commercial promotions, bulk solicitations, or unrelated advertising to businesses, users, or other parties.
This restriction does not prohibit an establishment or authorized representative from providing legitimate promotional information concerning that establishment, its events, services, or activities through features intended for such purposes.
Werqspace may restrict commercial activity that it determines is unauthorized, excessive, deceptive, disruptive, or inconsistent with the intended use of the service.
8.11 Manipulation and Abuse of Listings or Platform Features
Users may not intentionally abuse Werqspace’s listing, reporting, correction, claiming, account, or other platform features for deceptive, disruptive, retaliatory, or fraudulent purposes.
Prohibited conduct includes, without limitation:
- creating fraudulent or duplicate listings;
- repeatedly submitting knowingly false reports or correction requests;
- falsely claiming management authority;
- manipulating listing information to mislead users;
- using platform features to harass or retaliate against another person or establishment;
- repeatedly attempting to circumvent an administrative decision through deceptive means.
8.12 Multiple Accounts and Circumvention of Restrictions
Werqspace does not prohibit users from maintaining more than one account solely because multiple accounts exist. However, users may not create or use accounts for the purpose of:
- evading a suspension, termination, or other restriction;
- impersonating another person or organization;
- manipulating listings or platform activity;
- submitting fraudulent claims or reports;
- circumventing content or access restrictions;
- otherwise defeating an enforcement action or other legitimate Werqspace restriction.
8.13 Scraping and Unauthorized Automated Access
Users may not use automated systems, scripts, bots, crawlers, scraping tools, or similar methods to systematically access, collect, copy, extract, reproduce, or harvest data or content from Werqspace without Werqspace’s prior authorization.
This prohibition does not prevent ordinary search-engine indexing or other automated access that Werqspace has expressly permitted or technically made available for legitimate purposes.
Werqspace may implement technical measures to limit or prevent unauthorized automated access.
8.14 Interference with the Service and Security
Users may not:
- attempt to gain unauthorized access to Werqspace, its accounts, systems, databases, or infrastructure;
- interfere with or disrupt the operation of the service;
- introduce malware, malicious code, or harmful software;
- attempt to circumvent authentication, security, access-control, or other technical measures;
- intentionally overload, disable, damage, or impair the service;
- probe, scan, or test systems for vulnerabilities without authorization; or
- use the service in a manner reasonably intended to compromise its security or availability.
8.15 Circumvention of Content Restrictions
Users may not knowingly attempt to circumvent Werqspace’s content restrictions, moderation decisions, technical safeguards, or other measures designed to enforce these Terms.
This includes attempting to repost removed material in substantially the same prohibited form, using alternative accounts to evade restrictions, or intentionally altering prohibited material solely to defeat a reasonable moderation or filtering measure.
8.16 Platform and Distribution Requirements
Werqspace may be offered through third-party platforms, application stores, hosting providers, payment services, or other distribution channels that impose their own requirements.
Where reasonably necessary to maintain Werqspace’s availability through a particular platform or service, Werqspace may apply additional content, moderation, technical, or access restrictions to that platform or feature.
Such restrictions may be stricter than the general standards stated elsewhere in these Terms and may be applied to comply with applicable platform policies, legal requirements, or service-provider requirements.
8.17 Werqspace’s Discretion
Werqspace retains discretion to evaluate potentially prohibited content and conduct based on its context, purpose, severity, frequency, potential harm, relationship to the purpose of the service, and other circumstances reasonably relevant to the situation.
Werqspace’s decision not to remove or restrict particular content or conduct in one circumstance does not prevent Werqspace from taking action concerning similar or different content in another circumstance.
Werqspace is not required to identify or remove every violation of these Terms immediately, and the appearance of content on Werqspace does not constitute Werqspace’s endorsement or approval of that content.
8.18 Consequences of Violations
A violation of this section may result in one or more actions, depending on the circumstances, including removal of content, hiding or removal of listings, restriction of functionality, suspension or termination of accounts, restriction of access, loss of listing-management privileges, or other action that Werqspace determines to be appropriate.
The procedures and standards governing account suspension and termination are addressed in Section 9.
9. Account Suspension, Termination, and Enforcement
Werqspace may take action when it determines that a user, account, listing manager, or other person has violated these Terms, applicable law, or requirements reasonably necessary to protect the service, its users, establishments, or the integrity and security of the Werqspace platform.
Werqspace generally prefers to use proportionate and graduated enforcement where appropriate, but retains substantial discretion to determine what action is warranted based on the circumstances of each situation. Werqspace is not required to follow any particular sequence of enforcement actions.
9.1 Enforcement Actions
Depending on the circumstances, Werqspace may take one or more actions in response to conduct that it determines violates these Terms or otherwise warrants intervention. Such actions may include:
- issuing a warning or request for corrective action;
- removing or modifying submitted content;
- temporarily hiding or removing a listing;
- restricting particular account features or functionality;
- suspending listing-management privileges;
- temporarily suspending an account;
- permanently terminating an account;
- restricting access to some or all of the Werqspace service; or
- taking other reasonable action that Werqspace determines to be appropriate.
Werqspace may consider the nature, severity, frequency, intent, potential harm, history, and circumstances of the conduct when determining an appropriate response.
9.2 Warnings and Graduated Enforcement
Where circumstances reasonably permit, Werqspace may provide a warning or opportunity to correct a violation before taking more serious action.
Werqspace is not required to provide a warning or opportunity to correct a violation, however. Serious, repeated, intentional, unlawful, fraudulent, threatening, abusive, or security-related conduct may result in immediate restriction, suspension, or termination.
The fact that Werqspace previously responded to a violation with a warning or less severe action does not require Werqspace to use the same response to a subsequent violation.
9.3 Temporary Suspension
Werqspace may temporarily suspend an account while investigating a suspected violation, security concern, fraudulent activity, report, or other matter requiring review.
A temporary suspension may be imposed as a precautionary measure and does not necessarily mean that Werqspace has determined that the user violated these Terms.
Werqspace may maintain a temporary suspension for as long as it reasonably determines is necessary to complete an investigation, protect the service or its users, comply with applicable requirements, or otherwise address the circumstances giving rise to the suspension.
9.4 Immediate Restriction or Termination
Werqspace may immediately restrict, suspend, or terminate an account without prior warning when it reasonably determines that immediate action is appropriate.
Circumstances that may warrant immediate action include, without limitation:
- serious or repeated violations of these Terms;
- threats, harassment, or conduct creating a significant risk of harm;
- exploitation or endangerment of minors;
- deliberate outing or unauthorized disclosure of sensitive personal information;
- fraud or intentional deception;
- attempts to compromise the security of Werqspace or its users;
- unlawful activity;
- attempts to circumvent prior enforcement;
- conduct that presents a significant risk to the operation or integrity of the service; or
- other circumstances in which delaying action would reasonably be expected to increase risk or harm.
9.5 Listing-Management Privileges
Werqspace may suspend, revoke, or otherwise restrict a person’s ability to manage an establishment listing without terminating the person’s entire Werqspace account.
Such action may be taken when Werqspace determines that the person’s continued management access is inappropriate, including following a violation of these Terms, a dispute concerning management authority, a change in the person’s relationship with the establishment, or other circumstances affecting the person’s authorization.
Restriction or termination of listing-management privileges does not, by itself, remove the underlying establishment listing from the Werqspace directory.
9.6 Account Termination and Establishment Listings
Termination of a user’s Werqspace account does not automatically remove any establishment listings that the user was previously granted access to manage from the Werqspace directory.
An establishment listing remains subject to Werqspace’s listing-management and removal policies, including the procedures described in Sections 5 and 6.
If a person believes that an underlying establishment listing should be removed, a separate listing-removal request must be submitted in accordance with Section 6.
Similarly, termination of a person’s management privileges does not establish that the underlying establishment should be removed from Werqspace. Werqspace may retain, modify, hide, remove, or reassign management of the listing as it determines appropriate.
9.7 Circumvention of Enforcement
A person whose account or access has been suspended, terminated, or otherwise restricted may not create or use another account for the purpose of evading that enforcement action.
Werqspace may take action against accounts that it reasonably determines were created or used to circumvent a prior suspension, termination, restriction, or other enforcement measure.
This provision does not prohibit a person from creating another account for a legitimate purpose merely because that person previously maintained an account, provided that the new account is not being used to evade a Werqspace restriction.
9.8 Requests for Reconsideration
A person whose account or access has been restricted, suspended, or terminated may contact Werqspace and request reconsideration of the decision.
Werqspace may review such a request and may modify, reverse, or maintain its prior decision at its discretion.
Werqspace does not guarantee that it will conduct a formal appeal process, provide a particular form of review, or reverse an enforcement decision following a request for reconsideration.
A request for reconsideration does not automatically restore access while the request is being reviewed.
9.9 Information Concerning Enforcement Decisions
Werqspace may provide a user with an explanation for an enforcement decision when it determines that doing so is appropriate.
Werqspace is not required to disclose confidential reports, information concerning other users, security measures, internal moderation methods, investigative techniques, or all evidence considered in making an enforcement decision.
Werqspace may withhold information when disclosure could compromise the privacy or safety of another person, undermine a security measure, interfere with an investigation, facilitate circumvention of enforcement, or otherwise create a risk to Werqspace or its users.
9.10 Account Features and Data Following Termination
Termination or suspension of an account may result in the loss of access to account features, functionality, and data associated with that account.
Certain information or content associated with an account may nevertheless remain on Werqspace or in its records where retention or continued use is permitted or required under these Terms, the Werqspace Privacy Policy, or applicable law.
The treatment of particular categories of personal information following account deletion or termination is addressed in the Werqspace Privacy Policy.
9.11 No Obligation to Monitor or Enforce Uniformly
Werqspace does not guarantee that it will detect, investigate, or take action concerning every violation of these Terms.
The fact that Werqspace has not taken action concerning particular conduct or content does not constitute a determination that the conduct or content complies with these Terms, nor does it prevent Werqspace from taking action concerning similar conduct or content in the future.
Werqspace may exercise its enforcement discretion based on the circumstances of each individual situation.
9.12 Compliance with Law
Werqspace may restrict, suspend, terminate, preserve information, disclose information, or take other action when it determines that doing so is reasonably necessary to comply with applicable law, legal process, court orders, governmental requirements, or other legally binding obligations.
Nothing in these Terms prevents Werqspace from taking action that it is legally required or legally permitted to take.
9.13 Effect of Termination
When an account is terminated, the user generally loses the right to access and use the account and any account-specific functionality associated with it.
Termination does not automatically terminate the rights or obligations that, by their nature, are intended to continue after termination. Such provisions may include provisions concerning submitted content, intellectual property, disclaimers, limitations of liability, dispute resolution, administrative records, and other provisions that reasonably require continued effect.
Termination also does not automatically require the deletion of establishment listings, administrative records, or other information that Werqspace is permitted to retain under these Terms, the Werqspace Privacy Policy, or applicable law.
10. Disclaimers and Limitations of Werqspace’s Responsibilities
Werqspace is intended to provide adults with a useful resource for discovering LGBTQ+ establishments, places, events, and related resources. While Werqspace makes reasonable efforts to maintain useful and current information, the service necessarily contains information that may change, become outdated, be incomplete, or contain errors.
10.1 Accuracy and Completeness of Information
Werqspace makes reasonable efforts to provide useful and current directory information, including by reviewing, updating, and, where appropriate, attempting to verify information obtained from establishments, users, public sources, third-party data providers, and other sources.
Werqspace does not guarantee that any listing or other information is accurate, complete, current, or error-free.
Information about an establishment or other place may change without Werqspace’s knowledge, including its hours, ownership, management, policies, services, pricing, operating status, LGBTQ+ affiliation, or other characteristics.
Werqspace may also display estimated distances between a user and a listed location. Distance information is an estimate and may vary in accuracy depending on the method used to determine a user’s location. Depending on the circumstances, Werqspace may calculate distance using precise device-based location information, approximate location information derived from an IP address, a user-selected location, or other available location data. Distance calculations based on approximate location information may be substantially inaccurate. Users should not rely on a displayed distance as an exact measurement or as a guarantee of the actual distance between a user and a location.
Users should independently verify important information directly with the relevant establishment or other source before relying upon it, particularly information concerning hours, admission requirements, age restrictions, pricing, availability, policies, events, and other time-sensitive matters.
10.2 Nature of Establishment Listings
Werqspace generally does not operate, own, manage, supervise, or control the establishments, organizations, events, or other third-party entities included in its directory.
Inclusion of an establishment or other entity in the Werqspace directory does not constitute a guarantee, certification, or endorsement by Werqspace concerning the entity’s ownership, management, employees, policies, safety, quality, legality, services, prices, treatment of customers, or other characteristics.
Inclusion in the Werqspace directory also does not constitute a guarantee or certification that an establishment will remain open, continue operating in the same manner, maintain a particular LGBTQ+ identity or affiliation, or otherwise remain consistent with information previously published by Werqspace.
Werqspace may attempt to verify or update information about establishments and other listings, but the presence of a listing should not be understood as a representation that Werqspace has independently verified every aspect of that listing.
10.3 User Judgment and Establishment Interactions
Users are responsible for making their own decisions concerning whether to visit, contact, patronize, attend, or otherwise interact with an establishment, event, organization, or other entity discovered through Werqspace.
Users should exercise appropriate judgment concerning their own personal safety, privacy, security, health, finances, and other circumstances.
Werqspace does not guarantee the personal safety or security of users who visit or interact with establishments, events, organizations, or other places listed through the service.
Werqspace is not a party to transactions, interactions, or arrangements between users and establishments or other third parties. Users are responsible for evaluating and managing their own interactions and transactions with those parties.
10.4 Events and Time-Sensitive Information
Werqspace may provide information about events, including event dates, times, locations, admission requirements, ticket information, descriptions, performers, hosts, and other details.
Event information may change after publication. Events may be cancelled, postponed, rescheduled, relocated, sold out, modified, or otherwise conducted differently from the information originally presented through Werqspace.
Werqspace does not guarantee that an event will occur as listed or that tickets, admission, availability, pricing, performers, schedules, or other event details will remain unchanged.
Users should verify important event information with the event organizer or other appropriate source before making plans or purchases.
10.5 Third-Party Websites and Services
Werqspace may provide links or other connections to websites, applications, social-media accounts, ticketing services, reservation systems, payment services, maps, or other third-party websites and services.
Werqspace does not generally control those third-party services and is not responsible for their content, availability, security, privacy practices, policies, products, services, transactions, or other activities.
A link or other connection to a third-party service does not constitute an endorsement or guarantee by Werqspace of that service or its content.
Users who follow links or otherwise interact with third-party services do so at their own discretion and are subject to the terms and policies of those third parties.
10.6 User-Submitted Content
Werqspace may display, incorporate, edit, organize, or otherwise use material submitted by users and other contributors as described in these Terms.
Werqspace does not necessarily endorse, adopt, or agree with every statement, opinion, photograph, report, suggestion, or other item submitted by a user.
At the same time, Werqspace may review, edit, curate, combine, or otherwise incorporate submitted material into its directory and other services. The fact that Werqspace has incorporated or displayed submitted material does not guarantee its accuracy or completeness.
Werqspace may take action concerning submitted content as described elsewhere in these Terms, but does not guarantee that every inaccurate, inappropriate, or prohibited submission will be identified or removed.
10.7 Information from Third-Party and Public Sources
Werqspace may use information obtained from public sources, establishments, users, third-party data providers, APIs, mapping services, and other sources when creating or maintaining listings.
The use of information from a third-party source does not constitute a guarantee by Werqspace that the information remains accurate or complete.
Werqspace may attempt to verify, supplement, correct, or update information obtained from such sources, but cannot guarantee that every item of information has been independently verified.
10.8 Availability and Continuity of the Service
Werqspace does not guarantee that the website or any particular feature of the service will always be available, uninterrupted, timely, secure, or error-free.
The service may be unavailable or limited due to maintenance, updates, technical problems, security incidents, hosting or infrastructure issues, third-party service interruptions, network conditions, circumstances beyond Werqspace’s control, or other reasons.
Werqspace may modify, suspend, discontinue, replace, or restrict any portion of the service or any feature at any time.
Werqspace does not guarantee that the service will function correctly or identically on every device, browser, operating system, network, or other technical environment.
10.9 Security
Werqspace takes reasonable measures intended to protect the service and information entrusted to it, but no internet-based service can guarantee absolute security.

10.11 “As Is” and “As Available”
To the maximum extent permitted by applicable law, the Werqspace service and its content are provided “as is” and “as available.”
Except where these Terms expressly state otherwise, Werqspace makes no warranties, representations, or guarantees concerning the service or its content, whether express, implied, statutory, or otherwise, including warranties concerning accuracy, completeness, availability, reliability, suitability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.
Nothing in these Terms is intended to exclude or limit any warranty, right, or protection that cannot lawfully be excluded or limited under applicable law.
10.12 No Guarantee of Suitability
The inclusion of an establishment, event, organization, place, service, or other resource in Werqspace does not mean that it is suitable for every user or circumstance.
Werqspace cannot guarantee that a particular establishment or event will meet a user’s expectations, needs, preferences, accessibility requirements, safety expectations, or other individual circumstances.
Users are responsible for determining whether a particular establishment, event, organization, or other resource is appropriate for them.
10.13 No Guarantee Regarding Third-Party Conduct
Werqspace is not responsible for the conduct, acts, omissions, representations, products, services, policies, employees, contractors, customers, guests, or other activities of establishments, event organizers, organizations, users, or other third parties.
Werqspace does not guarantee that third parties will comply with applicable law, their own policies, information presented through Werqspace, or any particular standards of conduct.
10.14 Scope of Disclaimers
The disclaimers in this section apply to the Werqspace website, directory, listings, user-submitted material, events and event information, third-party links and services, and other features or content made available through Werqspace, whether currently offered or introduced in the future.
Nothing in this section is intended to eliminate responsibilities that Werqspace cannot legally disclaim or to limit rights or protections that users may have under applicable law.
11. Limitation of Liability
To the maximum extent permitted by applicable law, the limitations in this section apply to claims arising out of or relating to Werqspace, the Werqspace website, its content, listings, services, accounts, user submissions, or any use of or inability to use the service.
11.1 Exclusion of Certain Damages
To the maximum extent permitted by applicable law, Werqspace and its owner, operators, affiliates, service providers, and representatives will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for losses arising from lost profits, lost revenue, lost business opportunities, loss of goodwill, business interruption, or loss or corruption of data, even if Werqspace has been advised of the possibility of such damages.
These limitations apply regardless of the legal theory on which a claim is based, including contract, negligence, tort, statute, or otherwise, except to the extent such a limitation is prohibited by applicable law.
11.2 Aggregate Liability Cap
To the maximum extent permitted by applicable law, the total aggregate liability of Werqspace and its owner, operators, affiliates, service providers, and representatives for claims arising out of or relating to the service will not exceed the greater of:
- $100; or
- the total amount actually paid by the claimant to Werqspace during the twelve months preceding the event giving rise to the claim.
This limitation applies regardless of the number of claims, causes of action, or legal theories asserted.
The parties acknowledge that this limitation represents an agreed allocation of economic risk associated with the use of the Werqspace service.
11.3 Paid Services
If a claimant has purchased a paid service from Werqspace, the amount paid for that service will be considered when applying the aggregate liability limitation in Section 11.2.
Werqspace does not assume unlimited liability merely because a user or establishment has purchased a paid listing, advertising placement, event promotion, subscription, or other service.
Nothing in this section prevents the parties from agreeing to additional written terms governing a particular paid service, provided those terms are consistent with applicable law.
11.4 Establishments, Events, and Other Third Parties
Werqspace is not responsible for injuries, crimes, unsafe conditions, property damage, losses, or other harm caused by the independent acts or omissions of establishments, event organizers, organizations, users, advertisers, contractors, or other third parties.
This includes circumstances arising from a user’s visit to or participation in an establishment, event, organization, or other place discovered through Werqspace.
Werqspace is not responsible for the conduct, services, products, policies, employees, contractors, guests, customers, or other activities of third parties listed, referenced, or encountered through the service.
11.5 User Decisions and Reliance on Information
Users are responsible for their own decisions concerning information obtained through Werqspace.
Werqspace is not responsible for losses or damages resulting from a user’s reliance on information that is inaccurate, incomplete, outdated, unavailable, or otherwise incorrect, including information concerning an establishment’s location, hours, services, pricing, operating status, policies, events, admission requirements, or other characteristics.
This includes estimated distance information displayed by Werqspace, which may vary substantially in accuracy depending on the location information available to Werqspace.
Users should independently verify information that is important to their decisions or circumstances.
11.6 User-to-User Interactions
Werqspace is not responsible for interactions, communications, meetings, transactions, or other activities between users that arise directly or indirectly from information or connections made through Werqspace.
Users are responsible for exercising appropriate judgment and caution when interacting with other users or individuals encountered through the service.
Werqspace does not guarantee the identity, intentions, conduct, safety, or representations of any user or other person encountered through the service.
11.7 User-Submitted Content and Data
To the maximum extent permitted by applicable law, Werqspace is not responsible for loss, corruption, alteration, unauthorized access to, or inability to access user-submitted content, Favorites, account information, or other data associated with a user’s use of the service, except to the extent such liability cannot legally be limited.
The treatment and protection of personal information is additionally governed by the Werqspace Privacy Policy.
11.8 Third-Party Services and Links
Werqspace is not responsible for losses or damages arising from third-party websites, applications, services, platforms, payment processors, ticketing services, reservation systems, mapping services, social-media services, or other third-party resources accessed through or in connection with Werqspace.
Users interact with third-party services at their own discretion and subject to the terms, policies, and practices of those third parties.
11.9 Exceptions Required by Law
Nothing in this section is intended to exclude or limit liability to the extent that such liability cannot lawfully be excluded or limited.
In particular, nothing in these Terms is intended to release, waive, or limit liability for conduct for which applicable law prohibits contractual limitation, including, where applicable, fraud, intentional misconduct, gross negligence, or other conduct that cannot legally be subject to the limitations contained in this section.
11.10 Ordinary Errors and Negligence
Subject to the limitations and exceptions stated in this section, Werqspace’s liability for ordinary errors, omissions, inaccuracies, technical problems, or ordinary negligence is subject to the applicable exclusions and liability cap described above.
Werqspace does not represent that the service will be free from errors or that every listing or other information will always be accurate or current.
Nothing in this provision is intended to limit liability for conduct that applicable law does not permit Werqspace to limit or exclude.
11.11 Allocation of Risk
The parties acknowledge that the limitations, exclusions, disclaimers, and other provisions concerning responsibility and liability contained in these Terms reflect the nature of the Werqspace service and constitute an important part of the allocation of risk between Werqspace and its users.
Werqspace provides a primarily informational and discovery-oriented service, including substantial amounts of information concerning independent third parties that Werqspace does not own or control. The parties agree that the limitations in these Terms are intended to apply accordingly, to the maximum extent permitted by applicable law.
11.12 Scope and Survival
The limitations of liability in this section apply to claims arising from the use of, inability to use, or reliance upon the Werqspace service, whether the claim arises before or after a user’s account is terminated.
These limitations survive termination of an account or the user’s relationship with Werqspace to the extent reasonably necessary to give them effect.
Nothing in this section eliminates rights or protections that users may have under applicable law and that cannot lawfully be waived or limited.
12. Indemnification
12.1 User Responsibility for Claims
To the maximum extent permitted by applicable law, a user agrees to indemnify, defend, and hold harmless Werqspace and its owner, operators, affiliates, service providers, and representatives from and against claims, demands, actions, proceedings, damages, losses, liabilities, judgments, settlements, costs, and reasonable attorneys’ fees arising out of or relating to:
- the user’s violation of these Terms;
- the user’s unlawful, fraudulent, abusive, or intentionally wrongful conduct;
- material submitted, uploaded, transmitted, or otherwise provided by the user;
- the user’s infringement or alleged infringement of another person’s intellectual-property, privacy, publicity, or other rights;
- the user’s misuse of the Werqspace service; or
- the user’s acts or omissions that otherwise give rise to a claim against Werqspace.
This obligation applies only to the extent that the claim, loss, or expense arises from the user’s acts or omissions.
12.2 User-Submitted Material
A user is responsible for ensuring that the material they submit to Werqspace may lawfully be submitted and used as contemplated by these Terms.
To the maximum extent permitted by applicable law, a user is responsible for claims arising from material they submit where the claim alleges that the material infringes another person’s intellectual-property rights, privacy rights, publicity rights, or other legal rights, or where the submission otherwise violates applicable law or these Terms.
This provision is intended to complement the user’s representations and responsibilities concerning submitted material described in Section 7.
12.3 Claims Arising From User Interactions and Conduct
To the maximum extent permitted by applicable law, a user’s indemnification obligations may include claims against Werqspace arising from the user’s interactions, communications, transactions, or other conduct involving another user, an establishment, an event organizer, an organization, or another third party, but only to the extent the claim against Werqspace arises from the user’s own acts or omissions.
Werqspace does not require a user to indemnify Werqspace merely because the user was involved in a dispute or interaction with another person or entity.
12.4 Governmental and Regulatory Matters
To the maximum extent permitted by applicable law, a user’s indemnification obligations may include governmental, regulatory, administrative, or enforcement claims or proceedings arising from the user’s unlawful conduct, misuse of Werqspace, or other acts or omissions, but only to the extent the matter arises from the user’s conduct.
12.5 Defense of Covered Claims
If a claim potentially covered by a user’s indemnification obligations is made against Werqspace, Werqspace may participate in the defense of that claim with counsel of its choice.
The user must provide reasonable cooperation and assistance in defending a covered claim.
Where appropriate, the user may control the defense of a covered claim, provided that Werqspace may participate with its own counsel and that the user’s conduct of the defense does not adversely affect Werqspace’s legal rights or interests.
12.6 Settlements
A user may not settle a claim subject to indemnification in a manner that:
- admits wrongdoing or liability on behalf of Werqspace;
- imposes any obligation on Werqspace;
- restricts Werqspace’s rights or activities;
- requires Werqspace to take or refrain from taking any action; or
- otherwise materially affects Werqspace,
without Werqspace’s prior written consent.
Werqspace will not unreasonably withhold consent to a settlement that fully resolves a covered claim without imposing any liability, admission, obligation, restriction, or other material consequence upon Werqspace.
12.7 Werqspace’s Own Conduct
A user’s indemnification obligations do not apply to the extent that a claim is caused by Werqspace’s own independent misconduct or negligence, except to the extent otherwise permitted by applicable law.
Nothing in this section requires a user to indemnify Werqspace for liability that is solely attributable to Werqspace’s own conduct.
12.8 No Automatic Indemnification for Third-Party Conduct
A user does not become responsible for a claim against Werqspace merely because the claim concerns an establishment, event, organization, another user, or other third party with whom the user interacted through Werqspace.
Indemnification applies only to the extent the claim arises from the user’s own acts or omissions as described in this section.
12.9 Reasonable Costs and Attorneys’ Fees
Where indemnification applies, the user’s obligations may include reasonable attorneys’ fees, court costs, investigation expenses, and other reasonable costs incurred by Werqspace in responding to, defending, resolving, or enforcing rights concerning a covered claim.
12.10 Limits Imposed by Law
All indemnification obligations in this section apply only to the maximum extent permitted by applicable law.
Nothing in these Terms requires a user to indemnify, defend, or hold harmless Werqspace to the extent that applicable law prohibits such an obligation.
12.11 Survival
The obligations in this section survive termination or deletion of a user’s account to the extent the underlying conduct, submission, or other event giving rise to the claim occurred before termination or deletion.
The termination of a user’s account does not eliminate indemnification obligations that arose before termination.
12.12 Allocation of Responsibility
The parties acknowledge that this section is intended to allocate responsibility for claims arising from a user’s own conduct and is not intended to make users responsible for the independent acts or omissions of Werqspace or unrelated third parties.
To the maximum extent permitted by applicable law, if a user’s conduct creates a claim against Werqspace, the user bears the resulting responsibility as provided in this section.
13. Dispute Resolution
13.1 Informal Resolution
Before initiating a formal legal proceeding concerning a dispute arising out of or relating to Werqspace or these Terms, the user must first contact Werqspace and provide a reasonable opportunity to investigate and attempt to resolve the dispute informally.
A user may initiate this process by contacting Werqspace using the contact information provided on the website or by another method designated by Werqspace.
The user should provide sufficient information to identify the nature of the dispute, the relevant circumstances, and the resolution being requested.
This informal resolution requirement does not prevent a party from seeking immediate judicial relief where such relief is reasonably necessary to protect legal rights or prevent imminent harm.
13.2 Governing Law
These Terms and any dispute arising out of or relating to Werqspace or these Terms will be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws principles, except to the extent that applicable law requires otherwise.
13.3 Jurisdiction and Venue
To the maximum extent permitted by applicable law, any legal action or proceeding arising out of or relating to Werqspace or these Terms will be brought in a court of competent jurisdiction located within the State of New York.
Users consent to the jurisdiction of such courts for disputes subject to this section, except where applicable law provides otherwise.
Nothing in this section prevents Werqspace from bringing an action in another jurisdiction where necessary to enforce a judgment or obtain relief that cannot otherwise reasonably be obtained in New York.
13.4 Small Claims Proceedings
Nothing in these Terms prevents an eligible user or Werqspace from bringing an otherwise qualifying claim in a small claims court having appropriate jurisdiction.
Any applicable requirements governing small claims proceedings remain applicable.
13.5 Immediate Judicial Relief
The informal resolution process described in Section 13.1 does not prevent Werqspace or a user from seeking immediate judicial relief when reasonably necessary.
This may include temporary, preliminary, or other injunctive relief concerning unauthorized access to the service, misuse of accounts, intellectual-property infringement, disclosure or misuse of confidential information, unlawful use of the service, or other circumstances in which waiting for informal resolution could cause significant or irreparable harm.
13.6 No Mandatory Arbitration
Unless these Terms are later amended to provide otherwise, disputes arising under or relating to these Terms are not subject to mandatory arbitration.
Users retain any rights they may otherwise have to pursue eligible claims in court, subject to the requirements and limitations contained in these Terms and applicable law.
13.7 No Contractual Shortening of Applicable Limitations Periods
These Terms do not establish a contractual period shorter than the applicable statute of limitations for bringing a claim.
Claims remain subject to whatever limitations periods and other procedural requirements are imposed by applicable law.
13.8 No Waiver of Non-Waivable Rights
Nothing in this section is intended to waive or limit any right, remedy, jurisdictional protection, or procedural protection that applicable law does not permit the parties to waive or limit.
If any provision of this section is determined to be unenforceable in a particular circumstance, the remaining provisions will remain in effect to the maximum extent permitted by law.
14. General Provisions
14.1 Entire Agreement
These Terms, together with the Werqspace Privacy Policy and any other policies, rules, guidelines, or terms expressly incorporated into these Terms, constitute the agreement between the user and Werqspace concerning the user’s use of the Werqspace service.
By accepting these Terms, the user acknowledges that they have read and accept the Werqspace Privacy Policy. The Privacy Policy governs Werqspace’s collection, use, disclosure, retention, and other handling of personal information, while these Terms generally govern the user’s use of Werqspace and the contractual relationship between the user and Werqspace.
These Terms supersede prior agreements, representations, or understandings concerning the same subject matter, except where Werqspace expressly states otherwise.
14.2 Changes to These Terms
Werqspace may modify, update, or replace these Terms from time to time as the service, applicable law, business practices, or other circumstances change.
The most current version of these Terms will be made available through Werqspace. Changes will become effective when posted or on any later effective date specified by Werqspace.
Unless applicable law requires otherwise, Werqspace is not obligated to obtain affirmative re-acceptance of revised Terms from every user.
A user’s continued use of Werqspace after revised Terms become effective constitutes acceptance of the revised Terms.
Werqspace may, but is not obligated to, provide additional notice of changes to these Terms when Werqspace considers such notice appropriate.
Werqspace may also require affirmative acceptance of these Terms or particular provisions as a condition of submitting forms, managing listings, accessing particular features, or engaging in other activities on the service.
14.3 Assignment by Werqspace
Werqspace may assign, transfer, delegate, or otherwise convey its rights and obligations under these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, sale or transfer of the Werqspace business or substantially all of its assets, or another corporate or business transaction.
Any successor or permitted assignee may enforce these Terms to the extent applicable.
14.4 Assignment by Users
Users may not assign, transfer, or delegate their accounts, rights, or obligations under these Terms without Werqspace’s prior written consent, except to the extent that applicable law provides otherwise.
An account is personal to the user to whom it was registered and may not be transferred for the purpose of evading account restrictions, suspension, termination, or other enforcement actions.
14.5 Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law and, if necessary, modified only to the extent reasonably necessary to make it enforceable.
If a provision cannot reasonably be modified or enforced, it will be severed from these Terms without affecting the validity or enforceability of the remaining provisions.
14.6 Waiver
Werqspace’s failure to enforce any provision of these Terms on one occasion does not constitute a waiver of Werqspace’s right to enforce that provision or any other provision in the future.
A waiver is effective only to the extent expressly provided by Werqspace and does not constitute a continuing waiver unless expressly stated otherwise.
14.7 No Third-Party Beneficiaries
Except where these Terms expressly provide otherwise, these Terms do not create or confer any rights, remedies, or benefits upon any person or entity other than Werqspace and its users.
14.8 Independent Relationship
These Terms do not create or establish any partnership, joint venture, employment, agency, franchise, fiduciary, or other similar relationship between Werqspace and a user.
A user has no authority to act on behalf of, represent, bind, or incur obligations for Werqspace unless Werqspace has expressly authorized the user to do so.
14.9 Force Majeure
To the maximum extent permitted by applicable law, Werqspace will not be responsible for delay, interruption, failure, or inability to perform caused by circumstances beyond Werqspace’s reasonable control.
Such circumstances may include natural disasters, severe weather, fire, flood, epidemic or pandemic conditions, war, terrorism, civil unrest, governmental action, labor disruptions, utility failures, telecommunications failures, internet outages, infrastructure failures, cyberattacks, security incidents, failures of hosting or other third-party service providers, and other events that could not reasonably have been prevented or overcome by Werqspace.
This provision does not excuse obligations that applicable law does not permit to be excused.
14.10 Electronic Communications and Acceptance
Users consent to receiving communications from Werqspace electronically, including through email, website notices, account notifications, or other electronic means made available through the service.
To the maximum extent permitted by applicable law, electronic acceptance, acknowledgments, notices, records, and signatures may satisfy requirements that such communications be in writing or signed.
Where Werqspace requires affirmative acceptance of these Terms or other terms, policies, or agreements, a user’s electronic acceptance will constitute acceptance to the extent permitted by applicable law.
14.11 Notices
Formal notices to Werqspace may be sent using the contact information designated by Werqspace for legal or other formal communications.
Werqspace’s current designated contact information may be identified on the website, within these Terms, or through another method designated by Werqspace.
Werqspace may change its designated contact information without requiring an amendment to these Terms.
Where applicable, notices to users may be provided through email, account notifications, website postings, or other reasonable electronic means using contact information or account information associated with the user.
14.12 Additional Policies and Terms
Werqspace may establish additional policies, rules, guidelines, or terms governing particular features, services, programs, transactions, listings, events, business services, applications, or other aspects of the service.
Such additional terms may be incorporated into these Terms by reference or presented separately when applicable.
Where additional terms specifically govern a particular feature or service, those terms will apply to that feature or service in addition to these Terms.
Additional terms may not be interpreted as eliminating or materially changing rights or obligations established elsewhere in these Terms unless Werqspace expressly states that they amend or supersede a particular provision.
14.13 Interpretation
For purposes of these Terms, words in the singular may include the plural and vice versa where the context permits. The words “including,” “include,” and similar terms mean “including without limitation” unless expressly stated otherwise.
References to these Terms include any amendments or updated versions that become effective in accordance with Section 14.2.
References to Werqspace include the business, entity, owner, or other operator legally responsible for the Werqspace service at the relevant time.
Section headings are provided for convenience and do not affect the interpretation of these Terms.
14.14 Survival
Any provision of these Terms that by its nature or express language is intended to continue after termination or expiration will survive termination or expiration of a user’s account or relationship with Werqspace.
Without limitation, provisions concerning ownership, user-submitted material, indemnification, limitation of liability, dispute resolution, and other obligations that by their nature should survive will remain effective to the extent necessary to give them effect.
14.15 Applicable Non-Waivable Rights
Nothing in these Terms is intended to waive, exclude, or limit any right, remedy, protection, or obligation that applicable law does not permit the parties to waive, exclude, or limit.
If any provision of these Terms conflicts with a non-waivable requirement of applicable law, that requirement will control to the extent of the conflict, and the remaining provisions will remain in effect.

By using Werqspace, creating an account, submitting material, managing a listing, or otherwise accessing or using the service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
By accepting these Terms, you also acknowledge that you have read and accept the Werqspace Privacy Policy, as described in Section 14.1.
Where Werqspace presents a separate affirmative acceptance mechanism, such as an agreement checkbox associated with a particular form or action, submitting or completing that action after affirmatively accepting the applicable terms constitutes additional acknowledgment and acceptance of those terms.
